Compliance and Ethics (“C&E”) is a multifaceted second-line compliance function with a meaningful role within Euroclear SA/NV, acting as trusted advisors for several domains across the group. As critical financial market infrastructures, the Euroclear CSDs operate in a highly regulated environment. Our mission is to promote a culture of integrity and support the Euroclear group in navigating through regulatory complexity via expertise, constructive challenge, education and oversight!

Context:

The C&E Conduct, IT and Acquisitions team is comprised of senior subject matter experts (SMEs) with the following objectives:

• Conduct colleagues are SMEs focusing on compliance with regulatory regimes (such as CSDR, MIFID II/R and MAR) who advise on compliance risks related to client protection, market integrity, outsourcing, conflicts of interest and other emergent conduct risks. They provide services to Euroclear entities and central support for compliance representation within group and entity committees.
• IT SMEs advise Senior Management and Euroclear lines of business on the concrete application of the laws, regulations, standards and codes related to IT (security), operational resilience (DORA) and digital innovation.
• Acquisitions colleagues support the group M&A and partnerships strategy by providing regulatory due diligence on acquisition and partnership targets as well as post-acquisition support and oversight to meet the group’s standards for compliance.
• The whole team proactively engages with first and second-line collaborators on identification and assessment of compliance risks, ensuring regulatory changes are implemented and providing constructive challenges as needed.

Role:

We are seeking a highly skilled and knowledgeable Subject Matter Expert (SME) in MIFID II/R and Conflicts of Interest to join our compliance team. The ideal candidate will have a compliance or legal background, extensive experience in regulatory compliance within the financial services sector and a deep understanding of the European regulatory landscape we operate in. Your key responsibilities in this role will be:

• Regulatory Framework Owner for Compliance Domains: Responsible for the regulatory frameworks as well as regulatory traceability matrices to support the organisation’s compliance with market and business conduct regulations such as MIFID II and conflicts of interest requirements, as stipulated in multiple regulations applicable to Euroclear SA/NV and the Euroclear CSDs.
• Policy Development: Act as a policy owner for group policies related to domain expertise including policy development, maintenance and advising on implementation and embedding for Euroclear group entities.
• Risk Assessment and Reviews: Conduct risk assessments, gap analyses and deep-dive reviews to identify areas of non-compliance and recommend remedial actions.
• Advisory Role: Act as a trusted senior advisor to senior management and other partners on matters related to client protection and conflicts of interest.
• Training and Awareness: Provide content for training and awareness programmes for employees on the regulatory requirements and standard methodologies.
• Issue, Incident and Control Monitoring: Assist in the investigation, resolution and reporting of compliance related incidents, issues and control gaps.
• Compliance Monitoring and Reporting: Responsible for periodic reporting on regulatory developments, progress of compliance actions and risk rating for the SME’s compliance domains.
• Initiatives: Lead or support initiatives and projects within Compliance & Ethics.

Requisiti :

Knowledge and Skills Required:

• Regulatory Knowledge: Deep understanding of the European regulatory framework and multiple regulations applicable to conflicts of interest as well as the market and business conduct provisions applicable to our organisation within MIFID II. Knowledge of complementary regulatory legislation such as CSDR, SRD II, MAR, GDPR, regulatory reporting requirements within EMIR, MIFIR and SFTR, and other relevant banking laws, local licensing and jurisdiction specific regulations in the markets we operate in are a strong advantage.

• Analytical Skills: Ability to conduct thorough risk assessments, gap analyses, and interpret complex regulatory requirements.
• Problem-Solving: Proactive in identifying compliance issues and advising on practical solutions to address them.
• Attention to Detail: Meticulous in reviewing policies, procedures and other documentation to ensure accuracy and completeness.
• Project Management: Ability to manage multiple compliance projects and initiatives simultaneously, ensuring risk-based prioritisation and timely completion.
• Communication Skills: Strong written and verbal communication skills to effectively convey regulatory requirements and compliance strategies to various team members. The ability to present information and recommendations in a clear and actionable manner is essential.
• Interpersonal Skills: Strong interpersonal skills to collaborate effectively with colleagues across the organisation in a proactive and client-centric manner as well as the ability to pragmatically challenge when needed.
• Strategic & Commercial Awareness: Proficiency in recognizing business dynamics and effectively relating regulatory change to potential business opportunities and challenges.
Qualifications:
• Education: A degree in Law, Finance, Business or a related field. Equivalent experience will also be considered. Advanced degrees or professional qualifications and certifications are a plus.
• Experience: Minimum 5 years of compliance or legal experience, in the financial services sector
• Language: Fluent in English (C1 or above) and a good command of French or Dutch is required
